These Terms of Service ("Terms") govern your access to and use of the rearranger.ai service (the "Service") provided by Virtuoso Arts ("Company", "we", "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
rearranger.ai is a web-based software service that converts arranger keyboard style files between keyboard platforms manufactured by Yamaha, Roland, Korg, and Ketron. The Service processes user-uploaded style files, performs automatic drum remapping and root key detection, presents a review interface, and generates converted output files for download.
The Service is provided "as is" and "as available". We make no guarantee that converted files will produce results identical to the original style or that they will function perfectly on any specific keyboard model.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
rearranger.ai is a format conversion tool. We do not endorse or facilitate copyright infringement. Converting a style file you do not own is your responsibility. We will respond to valid DMCA takedown notices and comply with applicable intellectual property law. Accounts found to be engaged in systematic copyright infringement will be terminated.
New accounts receive 2 free conversions per month. These reset on your monthly billing cycle. No credit card is required for the free plan.
Paid subscription plans are billed in advance on a monthly or annual cycle. Subscription fees are non-refundable except as expressly stated in these Terms or as required by applicable consumer protection law. If you cancel a subscription, you retain access until the end of the current billing period.
Credit packs are one-time purchases of additional conversion credits. Once purchased, credit packs are non-refundable. Credits from credit packs never expire and are not consumed until your monthly subscription allowance is exhausted for that billing period.
Conversion credits are consumed when a conversion job is started, regardless of the outcome (including failed conversions due to unsupported file format or other technical issues). We do not refund credits for failed conversions unless the failure was caused solely by a bug on our side, as determined at our discretion.
We reserve the right to change subscription prices. We will give at least 30 days' notice of any price increase by email and in-app notification. Continued use of the Service after the price change takes effect constitutes acceptance of the new price.
Prices displayed are exclusive of VAT and other applicable taxes unless otherwise stated. For EU customers, VAT is charged at the applicable rate for your country of residence. You are responsible for any taxes applicable to your use of the Service under your local laws.
Uploaded style files and generated output files are automatically and permanently deleted 24 hours after the conversion job completes. We are not responsible for any loss resulting from the deletion of your files after this period. You should download any converted files before the 24-hour window expires.
We do not back up user files. We are not a file storage service.
The rearranger.ai software, website design, trademarks, and service name are the intellectual property of Virtuoso Arts. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during the term of your account.
You retain all rights to the style files you upload. We claim no ownership over your uploaded files or converted outputs. By uploading a file, you grant us a limited, temporary licence to process it for the purpose of providing the conversion service.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CONVERTED FILES WILL WORK ON ANY PARTICULAR KEYBOARD MODEL.
Keyboard manufacturer names (Yamaha, Korg, Ketron) are trademarks of their respective owners. rearranger.ai is not affiliated with, endorsed by, or sponsored by any keyboard manufacturer.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIRTUOSO ARTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €50.
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for consequential damages, so the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Virtuoso Arts, its officers, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of your violation of these Terms, your uploaded content, or your infringement of any third party's intellectual property rights.
We may suspend or terminate your account immediately for any material breach of these Terms, including but not limited to copyright infringement, abusive behaviour, or fraudulent activity. You may delete your account at any time from your account settings.
Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 8, 9, and 11 survive termination.
These Terms are governed by the laws of Germany, without regard to conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of Munich, Germany for any disputes arising under these Terms.
If you are a consumer in the EU, you may also have rights under your local consumer protection laws. Nothing in these Terms limits your rights under applicable EU consumer law.

We may update these Terms from time to time. For material changes, we will give at least 14 days' notice by email or in-app notification before the new Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
